Corporate governance and director development
It used to be the case that very few directors undertook any form of professional development when they were appointed to the board of a company. In the wake of Enron and other scandals, however, various corporate governance codes and regulations (the ‘Combined Code’ in the UK, ‘Sarbox’ in the US) were introduced which make newly-appointed directors increasingly wary about just what it is they have taken on.
Nonetheless, director development should be much more than a compliance issue. In most cases, appointment to the board marks the transition from working in the business to working on the business – and the effective director is the one who can most clearly see his or her role in that light.
